Terms and Conditions

These terms are the agreement between you and Studio ALTKEY inc. ("ALTKEY", "we") for the website clerksandquirks.com, including its subdomains, and the video game Clerks and Quirks, including its demo and playtest versions, updates and downloadable content (together, the "Game"). By using the website, or by installing or playing the Game, you accept them. If you do not agree, please do not use the website or the Game.

1. Who we are

2. Who can accept these terms

You must have reached the age of majority where you live to accept these terms. If you are younger, a parent or legal guardian must read and accept them for you, and is responsible for your use of the website and the Game.

3. Platform terms

The Game is distributed on Steam and, once those versions are released, on the Nintendo eShop. Your platform account, payments and refunds are governed by the platform's own terms, such as the Steam Subscriber Agreement. Valve and Nintendo are not parties to these terms and are not responsible for the Game.

4. Your licence

The Game is licensed to you, not sold. As long as you respect these terms, we give you a personal, non-exclusive, non-transferable licence to install and play the Game for your own entertainment, on the devices the platform's rules allow you to use.

You may not:

  • copy, distribute, sell, rent or sublicense the Game, except as the platform allows (for example family sharing);
  • decompile, reverse engineer or modify the Game's code, except where the law gives you that right;
  • create, use or distribute cheats, bots or tools that give an unfair advantage or disrupt other players;
  • bypass technical protection measures or remove copyright or trademark notices;
  • extract the Game's art, music or other assets to reuse them elsewhere, except as section 10 allows;
  • use the Game commercially, for example by charging people to play it, without our written permission.

5. Purchases, downloadable content and refunds

You buy the Game and any paid downloadable content from the platform, which sets the payment methods, taxes and refund policy. The Game has no in-game purchases and no virtual currency. We may release additional content, free or paid.

6. Demo and pre-release versions

Demo and playtest versions are free and unfinished. They may contain bugs, change without notice or be withdrawn at any time, and your progress may not carry over to the full Game.

7. Online play

Playing with others requires an internet connection, a platform account and, on some platforms, a paid online membership. Multiplayer, leaderboards, achievements and cloud saves rely on services run by the platform, so we cannot promise that they will always be available or error-free.

We may change or retire online features. If we plan to end the Game's online play permanently, we will announce it on our website at least 60 days in advance.

8. Rules of conduct

When you play online or take part in our community spaces, you agree not to:

  • harass, threaten or insult other players, or promote hate or discrimination;
  • cheat, exploit bugs to gain an advantage, or deliberately ruin other players' sessions;
  • use seed words, or any other text you can enter, to display offensive or unlawful content or to get around the Game's filter;
  • pretend to be someone else, including a member of our team;
  • break the platform's rules or the law.

If you break these rules, we may remove your scores, restrict your access to online features or report you to the platform.

9. Feedback and text you enter in the Game

You are responsible for the words you enter in the Game. If you send us ideas, bug reports or other feedback, you allow us to use them freely to improve the Game, without payment or credit.

10. Videos, streams and fan content

We encourage you to share the Game. You may create and publish videos, livestreams, screenshots, reviews and fan creations featuring the Game, and you may earn money from them through advertising, subscriptions, sponsorships and donations.

You may not:

  • distribute the Game's files, or its music, art or other assets on their own;
  • present your content as official or as approved by us;
  • use the Game in content that is unlawful, hateful or harassing;
  • sell merchandise using our names, logos, characters or art without our written permission.

We may ask you to remove content that does not respect these conditions.

11. Intellectual property

The Game and the website, including their code, art, music, characters, names and logos, belong to Studio ALTKEY inc. or its licensors and are protected by copyright and trademark laws. "Clerks and Quirks" and "ALTKEY" are our trademarks. Steam, Nintendo Switch and other names belong to their respective owners. We reserve all rights not expressly granted to you in these terms.

12. The website

The website gives general information about the Game, which may change without notice. It links to services run by others, such as Steam, Discord and YouTube; we do not control them and their own terms apply. You may not interfere with the website, try to access it without authorization or collect its content by automated means.

13. Newsletter

If you subscribe to our newsletter, we will email you news about the Game. You can unsubscribe at any time by following the instructions in each email.

14. Contests

Each contest we organize has its own official rules, published on the contest's own page, such as rewards.clerksandquirks.com. If those rules and these terms differ, the contest rules apply to that contest.

15. Privacy

Our Privacy Policy explains what personal information we collect and how we use it.

16. Updates

We may update the Game to fix bugs, adjust its balance, or add and remove content. Some updates may be required to keep playing online.

17. Ending the agreement

You can end this agreement at any time by uninstalling the Game and no longer using the website. We may suspend or end your licence if you seriously breach these terms, for example by cheating or pirating the Game. Sections that by their nature should continue, such as those on intellectual property and liability, remain in effect.

18. Warranties

You have the warranties and rights that the law of your country or province gives you. Nothing in these terms removes them.

The next paragraph does not apply to consumers in Québec.

To the extent the law allows, the website and the Game are provided "as is" and "as available". We do not promise that they will run without interruption or error, be compatible with every device or meet your expectations.

19. Limitation of liability

Nothing in these terms limits our liability for bodily or moral injury, for intentional or gross fault, for fraud, or for anything else the law does not allow us to limit.

The next two paragraphs do not apply to consumers in Québec.

To the extent the law allows, we are not liable for indirect or consequential losses, such as lost data, lost profits or loss of enjoyment, arising from the website or the Game.

To the extent the law allows, our total liability to you for all claims is limited to the greater of the price you paid for the Game or CA$50.

20. Governing law and courts

These terms are governed by the laws of Québec and the federal laws of Canada that apply there. Disputes will be brought before the courts of the judicial district of Québec.

If you are a consumer, you keep the protection of the mandatory laws of the place where you live, and you may bring a claim before the courts of that place where the law gives you that right.

21. Language

These terms are also available in French at clerksandquirks.com/fr/terms. Both versions have the same value. If they differ, a consumer or adhering party in Québec may rely on either version, as the law provides.

22. Changes to these terms

We may change these terms, for example to reflect new features, new platforms or changes in the law. We will post the new version on this page with a new date.

If a change reduces your rights or adds to your obligations, we will give at least 30 days' notice on the website or in the Game, showing the new clause, the old one and the date the change takes effect. If you do not accept the change, you can end this agreement without penalty, by uninstalling the Game and no longer using the website, up to 30 days after the change takes effect.

23. General

These terms, the Privacy Policy and any contest rules are the whole agreement between you and us about the website and the Game. If a court finds part of these terms invalid, the rest stays in effect. If we do not enforce a right, we have not given it up. We may transfer this agreement to a company that takes over the Game; you may not transfer it.
